OVERALL PURPOSE OF THE JOB To provide secretarial assistance to and support to the Company Secretarial Department. PRINCIPLE DUTIES Assist in the preparation of various secretarial documents such as resolutions, statutory forms and returns, announcements, Annual Report documents and Circular to Shareholders. Assist in all aspects of company secretarial services for all companies under the Deleum Group which includes ensuring proper maintenance of statutory records, ensure timely filing of statutory returns and compliance of statutory requirements under the Companies Act, 2016, preparation of memo, general correspondences, circular resolutions and statutory documents. Assist in coordinating meetings i.e, Board, Board Committee and General Meetings including preparation of notice, attendance list as well as compilation and circulation of meeting papers. Assist in organising, updating and maintaining proper records, files and storage as well as databases of the Company Secretarial Department both in Electronic Document Management System (EDMS) and physical files. Handle requests for Certified True Copies (CTC) of statutory forms and provide secretarial support for submissions to regulatory authorities. Assist in providing support in the overall duties and functions of the Company Secretarial Department. Liaise with various authorities such as the share registrar, auditors, LHDN, Commissioner of Oaths and Companies Commission Malaysia on secretarial matters and other applicable authorities. Carry out any other duties and assignments as may be assigned from time to time. KNOWLEDGE / EXPERIENCE REQUIRED FOR THE JOB Minimum 1 to 2 years working experience in the field of company secretarial, preferably in secretarial firms. Sound knowledge of Companies Act 2016, Bursa Malaysia Listing Requirements, corporate governance requirements and other relevant rules and regulations. Familiar with MyCoID and MBRS for SSM online submission, MyData and e-info for the purchase of documents submitted to SSM, as well as stamping with LHDN. Proficient in Microsoft Office suite such as Microsoft Word, Excel and PowerPoint. Meticulous, proactive and resourceful individual, able to multitask in a fast moving environment and possess a strong sense of responsibility, job ownership and commitment. Good command of written and spoken English and Bahasa Malaysia. Strong time management skills to meet deadlines. Able to work independently with minimal supervision, a team player and have good interpersonal skills. ACADEMIC / PROFESSIONAL QUALIFICATION Degree in Corporate Administration or ICSA graduate or any other qualification deemed equivalent to a bachelor&aposs degree and recognized by the Malaysian Qualifications Agency (MQA).
