Perwira Niaga Malaysia or PERNAMA is a corporation wholly owned by Lembaga Tabung Angkatan Tentera (LTAT). PERNAMA's main business is the management of retail stores within the camps of the Malaysian Armed Forces. As a national retail organization, PERNAMA would like to invite individuals who have what it takes to take the challenge in the following appointment: CORPORATE SECRETARY A) Job Requirements: 1) Bachelor's Degree in Corporate Administration, Business Administration, or Management, or other similar or relevant academic qualification. 2) Professionally qualified (MAICSA, MACS or Licensed Secretary by SSM), preferably with minimum 3 to 4 years of experience in relevant Company Secretarial practices. 3) Conversant with Companies Act 2016, well-versed Malaysian Code of Corporate Governance is an added advantage. 4) Computer literate (Microsoft Word, Excel, Power Point) as well as familiar with Convene, MyCoID, MBRS, MYDATA, e-info is preferable. 5) Good oral and written communication skills, proficient in Bahasa Malaysia and English. 6) Strong attention to detail, good interpersonal skill with ability to interact at all levels. 7) Positive attitude, team player with strong sense of responsibility and commitment, able to meet tight deadlines and work under minimum supervision. B) Job Descriptions: 1) Arrange, coordinate, attend and ensure proper procedures and conduct of, the meetings for the Board, the Board Committees, the Management Committee, and General Meetings of PERNAMA and subsidiary company. 2) Prepare, review, compile and circulate various Meeting documents such as notice, agenda, minutes of meetings and papers, as well as carry out follow-up action on matters resolved. 3) Prepare Company Secretarial documents in relation to PERNAMA and subsidiary companies, such as Members' Circular Resolutions, Directors' Circular Resolutions, statutory forms, returns and documents. 4) Ensure proper maintenance of corporate and statutory records or registers, lodgment or filing with the Companies Commission of Malaysia, ensure compliance with statutory reporting under Companies Act 2016 and other regulatory requirements. 5) Provide advice to the Board, the Board Committees and the Management Committee on corporate governance and compliance with the Companies Act 2016, and keep abreast of statutory or regulatory changes. 6) Assist in planning and implementing initiatives assigned to Legal & Secretarial Department and assume other responsibility on ad hoc basis from time to time.
