- Lead the team and be responsible for the preparation of relevant statutory documents for UEM Edgenta and its Group of Companies and affiliates (“UEM Edgenta Group of Companies”) to ensure compliance with the relevant legislation e.g Companies Act (CA 2016), Bursa Listing Requirement, Capital Markets and Services Act 2007 and Malaysian Code on Corporate Governance, and act as signatory/officer under CA 2016.
- Lead, plan and responsible for the preparation of secretarial materials for Annual Report, AGM and EGM of UEM Edgenta Group of Companies and Circular to Shareholders. Involvement in Annual Report, AGM and EGM Committees, liaison with Registrars and mailer for timely issuance.
- Strategize and Responsible in the organizing and co-ordination of Board, Board Committee and General Meetings of UEM Edgenta Group of Companies and assist in communicating Boards' and/or Committees' decisions and disseminate information to Operating Units and relevant parties as directed.
- Responsible in drafting, reviewing and verification of board papers, verification of secretarial/corporate information in audited financial statements/other submission documents and review of corporate exercise document prior to submission to the authorities to ensure its completeness and accuracy.
- Responsible for the Maintenance and proper safekeeping of registers, statutory books, record and files as required by law, and ensure smooth implementation of document management system.
- Plan and initiate action plan to ensure compliance to Companies Act and MCCG
- Ensure the team, undertake the relevant administrative duties and other reasonable and lawful duties as directed from time to time.
- At least 7 to 10 years of relevant experience in a Secretarial Department and possess MAICSA/ICSA qualification.
- In-depth knowledge of the Companies Act, Bursa Malaysia listing requirements, and other relevant regulations.
- Excellent proficiency in both written and spoken English and Bahasa Malaysia.
- Strong communication and interpersonal skills.
- Exceptional organizational and planning abilities.
- Member of a recognized professional body (Chartered Secretary) and/or licensed to act as a Company Secretary.
