Job Summary Company Secretaries are responsible for ensuring that an organization complies with standard financial and legal practices and maintains high standards of corporate governance. Act as a point of communication between the Board of Directors and company shareholders, reporting in a timely and accurate manner on company procedures and developments. Provide in-house secretarial services in managing and administering day-to-day operation of secretarial practices or requirements and ensure completion or lodgement of statutory forms, returns and reports and the company&aposs compliance obligations in accordance with the applicable rules and regulations associated to the group of companies. Job Description To ensure completion of lodgement of statutory forms, returns and reports and the company&aposs obligations. To assist and support in pre and post requirements for Board, Board Committees, Management - Level Committees Meetings including compilation of meeting papers, minutes, resolutions and statutory documents and ensure that the decisions of the Board of Directors are implemented accordingly. To ensure best principles of corporate governance and compliance with statutory or regulatory requirements. To execute of projects, assignments, & corporate exercises. To maintain updating Board Charter, Committees Terms of Reference and other compliance policy and procedure. To prepare the relevant Board, Committee and Shareholders resolutions of obtaining the necessary approvals. To attend to Auditors for performing Statutory Audit and assisting in checking the audited financial statements on information related to secretarial for Warisan Group of companies. Job Requirements Full and parial ICSA qualification. Must have The Malaysian Institute of Chartered Secretaries and Administrators (MAICSA) certification. 6-8 years working experience in company secretarial functions. Well verse in companies Act 2016, Main Market Listing Requirements of Bursa Malaysia Securities Berhad and other related laws and regulations. Good command of written and spoken English. Good interpersonal and communication skills with positive attitude. Meticulous person with strong sense of responsibility, proactive and taking self-initiative. Trustworthy, able to maintain confidentiality with high integrity. Organized, committed and able to multitask in a fast-paced working environment. Proficiency in Microsoft Office applications, especially Microsoft Words and Excel. Show more Show less
