Job Summary: Renders corporate secretarial services and supervises all aspects of corporate secretarial matters and general management of respective meetings of the Board of Directors ("Board"), shareholders and management of AEON Bank, ensuring compliance with relevant laws/statutory requirements. Job Responsibilities: Corporate Administration Function Oversee and lead the corporate secretarial function as the corporate secretary for AEON Bank, putting in place all secretarial practices and processes and its efficient delivery, ensuring effective communication and coordination on all matters pertaining to the Board and its members. Provide value added advice on corporate secretarial practices and corporate governance best practices including but not limited to those required under the Companies Act 2016, the Islamic Financial Services Act, 2013, ensuring compliance with relevant statutory & regulatory requirements. Preparing agendas for the Board and its committee meetings. Calendaring meetings, managing deadlines, and other matters as required for the Board and its committees. Reviewing, preparing, and distributing Board materials containing substantive background information to assist the Board and its committee meeting preparation. Handling the logistics of Board and committee meetings, or scheduling conferencing. Supporting the technology used to prepare and distribute materials, conduct meetings, and facilitate the Board and its committee activities, while being mindful of privacy and confidentiality concerns. Maintaining records of the materials provided to the Board and its committees to substantiate that directors are given appropriate information on which to base decisions. Monitoring corporate governance and other guidelines/regulatory developments that the board and/or its committees need to know, taking the steps necessary to comply with changing regulatory and other requirements. Facilitating director education for the Board and its committee, as well as managing/coordinating the assessments of the same. Develop the policies and procedures of the secretarial functions in order to ensure efficient processes and systems are in place for the unit to operate effectively and efficiently. Secretarial Function Monitor the registration of any conflict of interest declared by any member of the Board and/or members of management, ensuring that strategic decisions influenced by vested interests are avoided at all times. To attend meetings of the Board and the Board committees, and Management Committee and its Committees in order to ensure that the legal requirements are fulfilled, and provide such information as necessary and perform minutes writing. Oversee the day-to-day administration of AEON Bank, e.g. to maintain registers and statutory books as required by law, ensuring that statutory forms are filed promptly and managing payments of annual fees where required. Job Requirements: Bachelor's degree in Corporate Administration or relevant field. A Bachelor of Laws (LLB) degree is an added advantage. SSM practicing license or any other equivalent. Associate or Fellow Member of Malaysia Associate of Chartered Secretaries and Administrators (MAICSA).Thorough knowledge of company secretarial practices in general, the relevant provisions of the Companies Act 2016, the Islamic Financial Services Act 2013, Bank Negara Malaysia requirements and other relevant statutory requirements.
