ABOUT THE ROLE: To assist the Company Secretary in managing all company secretarial matters and ensure compliance with all statutory obligations, corporate governance standards and Companies Act, 2016 and Bursa Malaysia Listing Requirements. WHAT YOU WILL NEED TO DO: To manage the convening of all board, board committees and shareholders' meetings of the Group, and the compilation of all board reports and meeting papers. To record minutes at the board, board committees and shareholders' meetings. To prepare all board resolutions for the Group. To manage the timely preparation and filing of all relevant statutory forms and documents with the relevant statutory bodies (Companies Commission of Malaysia, Bursa Malaysia, the Securities Commission, etc.). To manage the maintenance of all statutory books and records in accordance with the Companies Act, 2016. To monitor changes in the relevant legislations and regulations, and take appropriate action where required. To manage the preparation and release of announcements to Bursa Malaysia. To manage the production of the Company's annual reports. To assist with corporate transactions of the Company. To supervise and train junior staff on company secretarial work. DESIRED QUALIFICATION, SKILLS & EXPERIENCES: Possesses full ICSA qualification and must be an Associate Member of MAICSA. Minimum 8 years of company secretarial working experience, with at least 3 years of management experience in a public-listed company. Familiar with the requirements of the Companies Act, 2016, Bursa Malaysia, the Securities Commission and other relevant legislations. Good command of spoken and written English. Meticulous, organised, responsible and proactive. Good interpersonal and communication skills, including the ability to communicate with members of the Board.
