- Formulate and strategize the identification and evaluation of changes to the rules and regulations by conducting effective research, establishing Group Positioning and implementing the outcome of the analysis according to Company governance.
- Provide guidance and recommendations based on good board and management practices in corporate governance and compliance, company secretarial best practices and good governance together with any changes in rulings, directives and guidelines as issued by the regulatory authorities within Malaysia and authorities in other foreign jurisdictions where the Company Group operates.
- Lead and drive the operational excellence by providing Regulatory Advisory to the Company Board, the Management team, employees and all companies within Company Group particularly the listed entities in respect of compliance to the Listing Requirements, Capital Market & Services Act, Companies Act 2016, rulings, directives and guidelines as issued by the regulatory authorities within Malaysia.
- Formulate the effective strategy on audit plans and compliance activities for Company Group by assessing and developing relevant action plans whilst ensuring adherence to compliance requirements under the Constitution and the relevant laws of the jurisdictions in which the companies are incorporated or operated.
- As subject matter expert, formulate and strategize the provision of an effective corporate secretarial practices and compliance services by providing advisory to the stakeholders in accordance with the Company Law, Constitution, Trust Deeds and Regulatory/Authorities requirements (i.e. Company Commission Malaysia, Securities Commission and Bursa Malaysia).
- Strategize and develop the Board Governance & Secretarial Training Programmes by establishing training plan encompassing module design and framework and continuous collaboration with internal and external key stakeholders in the Company.
- Formulate, strategize and steward Special Projects or business improvement initiatives by establishing plans and strategies and oversee specially assigned projects or business initiatives in line with business objectives and corporate exercises as well as initialization of engagement and communication plan for training and sharing of knowledge on board governance and secretarial practices.
- Institute of Chartered Secretaries and Administrators (ICSA) or Bachelor in Corporate Administration or Bachelor of Laws/LLB (Hons) or any relevant degree
- Malaysia Institute of Chartered Secretaries (MAICSA) qualification is an added advantage.
- Minimum 15 years of working experience in secretarial and compliance practice
- Qualified to act as Company Secretary pursuant to Companies Act 2016
