- Ensure adherence to the Securities Commission's Guidelines on Listed Real Estate Investment Trusts (REITs).
- Ensure adherence to Bursa Malaysia Listing Requirements and the Capital Markets and Services Act 2007 (CMSA).
- Coordinate with the Securities Commission, Bursa Malaysia, and the Trustee as needed.
- Support the preparation and submission of statutory filings and annual reports.
- Ensure compliance with the tax-exempt status requirements for REITs as outlined in Section 61A of the Income Tax Act 1967.
- Ensure adherence to the requirement of distributing at least 90% of income to unitholders.
- Monitor asset composition and income thresholds to ensure continued eligibility for tax exemption.
- Establish and uphold strong compliance frameworks in accordance with the Malaysian Code on Corporate Governance (MCCG).
- Carry out regular compliance audits and internal assessments to ensure regulatory adherence.
- Oversee unitholder distribution to prevent any breach of regulatory ownership restrictions.
- Recognize, evaluate, and address potential compliance risks.
- Observe regulatory developments and assess their impact on REITs.
- Maintain an up-to-date compliance risk register and escalate identified issues as required.
- Design and implement internal compliance manuals, standard operating procedures (SOPs), and governance policies.
- Deliver compliance training and awareness initiatives for employees, Board members, and property managers.
- Foster a culture grounded in integrity, strong governance, and transparency.
- Provide regular compliance updates and reports to the Board of Directors, Compliance Committee, and/or Audit Committee.
- Liaise with the company secretary to ensure compliance with all AGM and EGM regulatory requirements.
- Assist Investor Relations in ensuring accurate and timely dissemination of public disclosures.
- Bachelor’s degree in Law, Finance, Accounting, or a related discipline; professional qualifications such as LLB, LLM, CPA, ICAEW, or equivalent are preferred.
- At least 5 years of compliance experience, ideally within REITs, asset management, or publicly listed companies.
- In-depth knowledge of key regulatory frameworks, including Bursa Malaysia Listing Requirements, Securities Commission (SC) REIT Guidelines, Income Tax Act 1967 (Section 61A) and CMSL holder.
- Knowledge of Islamic REIT (i-REIT) structures and principles, including Shariah compliance requirements.
- ​Proven experience in engaging with REIT Trustees and coordinating with property managers.
